NOTICE OF SPECIAL MEETING OF SHAREHOLDERS
SEPTEMBER 30, 2025
TAKE NOTICE that a Special Meeting of Shareholders (the “Meeting”) of The London Club, Limited (the “Club”) will be held in-person at the Club (177 Queens Avenue, London, Ontario) on Tuesday, September 30, 2025, at 5:00 p.m. (EDT) for the following purposes:
To approve the continuation of the Club under Ontario’s Not-for-Profit Corporations Act, 2010;
To determine whether to limit proxies to five (5) per proxyholder or allow for unlimited proxies;
To sanction the amended by-law enacted by the Board of Directors;
To fix the remuneration payable for the cancellation of shares as part of the continuation of the Club at $10 to be paid as a dining credit for all current members of the Club with no other remuneration being payable for any shares;
To transact such other business as may properly come before the Meeting or any adjournment or postponement thereof.
